ClueXP coordinates the work. Independent providers perform it.

1. What ClueXP does

ClueXP provides technology for service intake, coordination, network routing, customer communication, and related tools (the “Platform”). The public website provides information and entry points for customers, provider companies, and technicians. It does not itself determine coverage, eligibility, pricing, dispatch, payment, cancellation, tracking, or request outcomes.

ClueXP does not perform locksmith or other field services. Independent provider companies and their technicians perform all physical work. ClueXP is not a party to the service contract between a provider company and its customer.

ClueXP approves provider companies and technicians for access to the Platform. Approval grants access only. It is not a certification, licence check, endorsement, or guarantee of any provider's or technician's qualifications, conduct, or work.

2. No guarantees from public pages

Marketing content does not guarantee coverage, provider availability, arrival time, pricing, technician identity, provider approval, or job volume. Request-specific information comes from the Platform.

3. Provider company responsibilities

Licensing and compliance. Each provider company is solely responsible for obtaining and maintaining every licence, permit, registration, and certification required where it operates, and for complying with all applicable laws.

Insurance. Each provider company is solely responsible for carrying the insurance appropriate to its business and required by law. ClueXP does not set or verify insurance requirements.

Its technicians. A provider company is responsible for every technician who works with it, whether the company invited them or they joined the Platform on their own and then affiliated with it. This includes their qualifications, licences, conduct, supervision, and pay.

No screening by ClueXP. ClueXP does not conduct background checks on provider companies or technicians. Any screening is the provider company's responsibility.

The work. The provider company is solely responsible for the work it performs, including its quality, safety, customer pricing, warranties, and any damage or loss arising from it.

Indemnity. To the extent permitted by law, each provider company will defend, indemnify, and hold ClueXP harmless from claims arising from its services, its technicians, or its breach of these terms or of the law.

Applications. Creating a provider account does not approve the company, activate network participation, or promise demand.

4. Technicians

Technicians are engaged by provider companies. A technician is not an employee, agent, or contractor of ClueXP. ClueXP does not direct how technicians perform work, set their pay, or pay them. Any employment or contracting relationship is solely between a technician and the provider company they work with.

A technician may create an account directly or accept an invitation from a provider company. Either way, the technician owns their profile and may work with more than one provider company, each under its own separate agreement.

Each provider company sets and pays its technicians' compensation. ClueXP does not process, hold, or guarantee those payments. Where the Platform shows a job as “paid”, the provider company has recorded the payment.

5. ClueXP Operations subscription

Free period. ClueXP Operations is free for the first 30 days after an approved provider company activates it. Service is available from day one after approval.

Pricing is per location. Each location subscribed to Operations is charged separately. There is no limit on the number of technicians at a location.

Early provider price. A provider company that joins ClueXP by creating its provider account on or before December 31, 2026 pays $399 per location per month, plus applicable taxes. This price will not increase for the life of that company's subscription.

Standard price. A provider company that joins on or after January 1, 2027 pays $699 per location per month, plus applicable taxes.

No commitment. There is no annual or minimum term. A provider company may cancel at any time. Cancellation takes effect at the end of the current subscription period, and Operations remains available until then.

Cancelling ends the early price. The early provider price lasts for the life of the subscription and ends when the subscription ends. A provider company that returns after cancelling pays the standard price in effect when it returns.

Network jobs. ClueXP currently charges no fee on jobs routed to a provider company through the network. Any future fee will be set out in the provider agreement before it applies.

6. Limitation of liability

To the maximum extent permitted by law: ClueXP is not liable for the acts, omissions, or work of any provider company or technician; ClueXP is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and ClueXP's total liability to a provider company for any claim relating to the Platform is limited to the subscription fees that company paid ClueXP in the 12 months before the claim arose.

Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law.

7. Safety

ClueXP is not an emergency-response service. Contact local emergency services when there is immediate danger.
